This agreement may not be assigned or delegated by either party without the prior written consent of the other party.

　　雙方認(rèn)為，時間因素至關(guān)重要。本協(xié)議的訂立地為美國佛羅里達(dá)州，應(yīng)受佛羅里達(dá)州法律的管轄。本協(xié)議作為雙方的完整協(xié)議，只能由受到強(qiáng)制執(zhí)行的一方通過書面簽署的文件加以變更。本協(xié)議應(yīng)有兩份（或以上）的正本，由協(xié)議雙方簽署。各段落標(biāo)題詞的使用僅是為了方便，不能擴(kuò)大或限制本協(xié)議條款的范圍與實質(zhì)內(nèi)容。本協(xié)議中任何一處使用的復(fù)數(shù)當(dāng)然包括單數(shù)，反之亦然；本協(xié)議中任何一處使用的.代名詞應(yīng)當(dāng)根據(jù)文本需要確定其性別，即男性、女性或者中性。在與本協(xié)議有關(guān)的訴訟、仲裁或者調(diào)解中，勝訴的一方有權(quán)要求對方為其支付一切相關(guān)而合理的律師費用，包括（但不限于）行使請求權(quán)的費用。涉及本協(xié)議的一切訴訟應(yīng)由佛羅里達(dá)州派尼拉思郡法院管轄。經(jīng)一方書面同意，另一方可將本協(xié)議轉(zhuǎn)讓或委托給第三方。
